Saundra M. Gumerove
During a distinguished legal career that has spanned nearly 25 years, Ms. Gumerove has practiced in the areas of corporate law, banking, commercial finance, real estate, workouts, and creditor’s rights. Her experience encompasses a wide spectrum of matters, both transactional and advisory, on behalf of domestic and foreign financial institutions, corporations and individuals. She has represented major financial institutions and borrowers in loan transactions (including term loans, revolving credits and real estate transactions), asset based finance, leasing, asset sales, lender liability, real estate, workouts, creditors rights and related matters. Furthermore, she has represented businesses and individuals in the purchase and sale of residential and commercial real estate, in lending relationships and in general corporate legal matters.
Former Bank Counsel
Before entering private practice, Ms. Gumerove was Chief Counsel and chief workout officer for MONY Credit Corporation as well as Associate General Counsel of the Mutual Life Insurance Company of New
York (“MONY”). Prior to that she served as Vice President and Counsel at Manufacturers Hanover Trust Company.
In her capacity as Chief Counsel for MONY Credit Corporation and also as Vice President and Counsel at Manufacturers Hanover, Ms. Gumerove gained extensive experience in finance and loan documentation as well as in workout and distressed transactions. She has provided counsel in many diverse transactions involving small businesses, multinational corporations, partnerships, real estate investment trusts, and manufacturers throughout the United States.
Representing Borrowers
In her private practice, Ms. Gumerove has represented both businesses and individuals in loan transactions (both asset based and non-asset based), commercial and consumer real estate financing transactions, contract negotiations, and general business matters. Her practice has focused on assisting business clients in problematic situations and in bringing difficult legal and/or financial situations to successful conclusions favoring the companies she counsels.
Education
Ms. Gumerove earned her J.D. degree in 1976 from Hofstra University Law School. She graduated from the School of Government and Public Administration at American University with a B.A. degree. She has published numerous articles in trade journals and consumer publications, including the American Banker and Newsday, on such subjects as creditors rights, workouts and bankruptcy, and bank financing. She has presented many seminars with respect to general corporate matters, bankruptcy and workout issues, and bank financing.
Community Service
Ms. Gumerove is highly active in and dedicated to community affairs. She is a member of the Board of Directors of the Nassau County Chapter of the Association for Helping Retarded Children (“AHRC”) and serves as Chairperson of the Government Liaison Committee. She is a member of the Birchwood Civic Association Board of Directors where she is a current and active Board member. She has also served on the Board of Directors of the Sturge Weber Foundation. Ms. Gumerove is a member of the Nassau County Bar Association, the New York State Bar Association and the American Bar Association.
